RotkiX provides a self-hosted Web3 portfolio tracking and analytics platform built on the open-source Rotki foundation. The Service includes:

• Portfolio tracking and balance monitoring across multiple blockchain networks
• Accounting and tax reporting functionality
• Analytics and performance measurement tools
• Data import/export capabilities
• Integration with supported exchanges and protocols

4.1 License Grant

Subject to your compliance with these Terms, RotkiX grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software for your personal or internal business purposes.

4.2 Open Source Components

RotkiX incorporates open-source software components, including the Rotki foundation licensed under AGPL-3.0. Your use of these components is subject to the terms of their respective licenses.

4.3 Restrictions

You may not:

• Redistribute, sell, lease, or sublicense the Software to third parties
• Reverse engineer, decompile, or disassemble proprietary components
• Use the Service for illegal, fraudulent, or malicious activities

As a user of the Service, you are responsible for:

• To circumvent reporting requirements or tax obligations
• To interfere with or disrupt third-party services or networks
• To distribute malware, viruses, or other harmful code

7.1 RotkiX Intellectual Property

RotkiX retains all rights, title, and interest in proprietary components, enhancements, documentation, trademarks, and other intellectual property developed independently of the underlying open-source components.

7.2 Open Source Components

The underlying Rotki software and other open-source components retain their respective licenses and ownership. These Terms do not transfer ownership of open-source components.

7.3 User Data Ownership

You retain all ownership rights in your data. RotkiX claims no ownership interest in your portfolio data, transaction history, or other user-generated content.

7.4 Feedback and Contributions

Any feedback, suggestions, or contributions you provide may be used by RotkiX without restriction or obligation, unless otherwise agreed in writing.

8.1 Local Data Processing

RotkiX processes your portfolio data locally on your device. We do not collect, store, or transmit your portfolio data to our servers or third parties, except as necessary for specific integrations you explicitly enable.

8.2 Website Data Collection

Our website may collect limited data as described in our Privacy Policy and Cookie Policy, including analytics data, support communications, and technical information necessary for service provision.

8.3 Third-Party Integrations

When you enable integrations with exchanges, blockchain networks, or other third-party services, data may be transmitted to these services according to their respective privacy policies and terms.

9.1 Disclaimer of Warranties

10.4 Jurisdictional Variations

Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless RotkiX, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

• Your use or misuse of the Service
• Your violation of these Terms or applicable laws
• Your infringement of third-party intellectual property rights
• Your data, content, or activities using the Service

12.1 Service Modifications

RotkiX reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable for any modification, suspension, or discontinuation.

12.2 Terms Modifications

We may revise these Terms at our sole discretion. Material changes will be notified through our website or other reasonable means. Continued use of the Service after changes constitutes acceptance of the revised Terms.

• Your license to use the Service immediately ceases
• You must uninstall and destroy all copies of the Software
• Provisions regarding liability, indemnification, and disputes survive
• Your data remains under your control on your local systems

13.4 Data Retention

Since the Service operates locally, termination does not affect data stored on your systems. You remain responsible for your data management and security after termination.

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where RotkiX is incorporated, without regard to conflict of law principles.

14.2 Dispute Resolution Process

Before initiating formal proceedings, parties agree to:

1. Direct Negotiation: Attempt good faith resolution for 30 days
2. Mediation: Engage in mediation if negotiation fails
3. Arbitration: Submit to binding arbitration if required by law

14.3 Jurisdiction and Venue

Any legal action or proceeding shall be brought exclusively in the courts of competent jurisdiction where RotkiX maintains its principal place of business.

14.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14.5 Time Limitations

Any claim or cause of action must be filed within one (1) year after the claim or cause of action arose or be forever barred.

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and RotkiX regarding the Service.

15.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term or condition.

15.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

15.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control.

15.6 Export Controls

The Service may be subject to export controls. You agree to comply with all applicable export and import laws and regulations.

15.7 Government Users

If you are a government entity, the Service is provided as "Commercial Computer Software" subject to applicable government contracting regulations.

15.8 Survival

Provisions that by their nature should survive termination will survive, including warranty disclaimers, liability limitations, and dispute resolution.
